UX/UI Consulting and Strategy.

2. Intellectual Property Rights

Company Property: All templates, proprietary code, "Logic Engines," and design methodologies used by WebPro247 remain the exclusive property of the Company.

Client Work: Upon full payment, the specific custom assets created for a Client (e.g., custom logos or specific frontend code for their project) will be licensed or transferred to the Client as outlined in their individual Statement of Work (SOW).

3. Payments and Cancellations

Fees: Project fees are outlined in individual proposals. A non-refundable deposit is typically required to commence work.

Late Payments: We reserve the right to suspend services or take down active projects if payments are more than [15] days overdue.

Refunds: Due to the custom nature of digital design and development, refunds are not provided for work already completed and approved by the Client.

4. Third-Party Integrations

WebPro247 often builds tools that integrate with third-party platforms (e.g., MLS data, APIs, or hosting providers). We are not responsible for the uptime, security, or data accuracy of these third-party services.

5. Limitation of Liability

WebPro247 builds high-performance tools, but we do not guarantee specific business outcomes (e.g., specific sales targets or search engine rankings).

No Warranty: Services are provided “as is.” We are not liable for any direct, indirect, or consequential damages resulting from the use of the digital products we build, including data breaches or loss of profit.

Maximum Liability: Our total liability to any client for any claim shall not exceed the total amount paid by the client for the specific project in question.

6. Confidentiality

Both parties agree to keep all sensitive business information, "Source of Truth" logic, and trade secrets confidential during and after the term of the engagement.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida. Any legal actions must be filed in the courts located in [Your County], Florida.

8. Modifications
